| Forming LLC with two equal partners and we are not sure of the proper way to designate positions such as CEO, Secretary, Treasurer in our LLC documents. We both need contract and check signing authority and we desire equal liability. What is the best way to designate positions? Neither of us care about our title but want to be sure we are legally setting this up correctly. FYI: This is a real estate company. |

| Depending on the state where your filling my generic answer is you only need to file the articles of LLC with the state. Positions do not have to be on the articles just the person filling the articles. It states the name of the business, what your in businesses to do, and how long you plan to conduct business. Now the positions and all the details can be put in the operators agreement. Job titles, descriptions, who has authority to open and write checks, and the other details. There are several great books on How to form and operate an LLC. Several of them come with CD's and give you all the boiler plates for documents you need to have on file as your business grows.
